Acceptance of Terms

Welcome to Tradesocio. These Terms of Service ("Terms") constitute a legally binding agreement between you or the entity you represent ("Client," "you," or "your") and Tradesocio ("Company," "we," "us," or "our") governing your access to and use of our software products and services.

Important: B2B Software Services

Tradesocio is a B2B software development company. We provide trading platform software solutions to financial institutions. We do not operate as a financial services provider, broker, or exchange. Our clients are responsible for obtaining all necessary licenses and regulatory approvals to offer financial services to their end customers.

By accessing our website, executing a licensing agreement, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

Definitions

"Software" refers to our proprietary trading platform solutions including Bruno Core, Bruno Admin, and related products.
"Services" includes software licensing, implementation, customization, support, maintenance, and updates.
"Client" refers to financial institutions, brokerages, banks, and other organizations that license our Software.
"End Users" refers to your customers who use our Software through your services.

Service Description

Tradesocio provides the following B2B software solutions:

Software Licensing: Access to our proprietary trading platform software
Implementation: Platform deployment and configuration services
Customization: White-label branding and feature customization
Technical Support: Ongoing maintenance and troubleshooting
Updates: Regular software updates and new feature releases
Integration: API access and third-party integration support

Client Eligibility

To use our Services, you must:

  • Be a legally registered business entity (corporation, LLC, partnership, etc.)
  • Operate as a financial institution, brokerage, bank, or licensed financial services provider
  • Hold all necessary licenses and regulatory approvals in your jurisdiction
  • Have the authority to enter into binding contracts on behalf of your organization
  • Agree to comply with all applicable laws and regulations

License Grant and Restrictions

License Grant

Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to use our Software for your internal business operations and to provide services to your end customers.

License Restrictions

You may NOT:

  • Reverse engineer, decompile, or disassemble the Software
  • Modify, create derivative works, or copy the Software
  • Resell, sublicense, or redistribute the Software to third parties
  • Remove, alter, or obscure any proprietary notices or branding
  • Use the Software to develop competing products or services
  • Access the Software to build a similar or competitive product

Fees and Payment

License Fees

Fees are specified in your licensing agreement and may include setup fees, monthly/annual subscription fees, and usage-based charges.

Payment Terms

Invoices are due within 30 days of issue date unless otherwise specified. Late payments may incur interest charges and service suspension.

Fee Changes

We may modify fees with 60 days' advance written notice. Continued use after fee changes constitutes acceptance.

Taxes

Fees exclude all applicable taxes, which are your responsibility unless you provide valid tax exemption certificates.

Client Responsibilities

As a client using our Software to serve your end customers, you are responsible for:

Regulatory Compliance

Obtaining and maintaining all licenses and regulatory approvals

End User Management

KYC/AML verification, onboarding, and account management

Data Protection

Protecting end user data per your privacy policy and applicable laws

Risk Disclosure

Providing appropriate risk warnings to your end customers

Customer Support

First-line support for your end customers

Infrastructure

Maintaining adequate hosting and network infrastructure

Support and Maintenance

Technical Support

We provide technical support during business hours (9 AM - 6 PM GMT, Monday-Friday) with response times based on your service tier.

Software Updates

Regular updates include bug fixes, security patches, and new features. Major version upgrades may require additional fees.

Service Level Agreement (SLA)

We target 99.9% uptime for our hosted services, excluding scheduled maintenance windows.

Intellectual Property Rights

Our Ownership: We retain all rights, title, and interest in the Software, including all intellectual property rights. This license does not transfer ownership.

Client Data: You retain ownership of your data and your end users' data. We may use aggregated, anonymized data for analytics and improvement purposes.

Feedback: Any feedback or suggestions you provide may be used by us without obligation or compensation.

Warranties and Disclaimers

Limited Warranty

We warrant that the Software will substantially conform to its documentation during your subscription period. Your sole remedy for breach is service credit or termination with refund of prepaid fees.

DISCLAIMER

EXCEPT AS EXPRESSLY PROVIDED, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM
  • WE ARE NOT LIABLE FOR YOUR END USERS' TRADING LOSSES OR ACTIVITIES
  • WE ARE NOT LIABLE FOR YOUR REGULATORY COMPLIANCE FAILURES

Indemnification

You agree to indemnify and hold Tradesocio harmless from claims arising from:

  • • Your use of the Software
  • • Your end users' activities
  • • Your breach of these Terms
  • • Your violation of laws or regulations
  • • Your infringement of third-party rights

Term and Termination

Term

The agreement begins on the effective date and continues for the initial term specified in your licensing agreement, with automatic renewal unless terminated.

Termination by You

You may terminate with 90 days' written notice. Fees are non-refundable except as required by law.

Termination by Us

We may terminate immediately for breach, non-payment, or if you lose required licenses. We may terminate with 90 days' notice for convenience.

Effect of Termination

Upon termination, you must cease all use, return or destroy all copies of the Software, and assist with end user migration.

Confidentiality

Both parties agree to protect each other's confidential information, including software code, business strategies, pricing, and customer data, using reasonable care for at least 5 years after disclosure.

General Provisions

Governing Law

These Terms are governed by the laws of the Republic of Singapore, without regard to conflict of law principles.

Dispute Resolution

Disputes shall be submitted to the exclusive jurisdiction of the Singapore courts. Parties may alternatively agree to arbitration under the Singapore International Arbitration Centre (SIAC) rules.

Force Majeure

Neither party is liable for delays or failures due to circumstances beyond reasonable control.

Entire Agreement

These Terms, together with your licensing agreement, constitute the entire agreement between the parties.
